By placing an order with and/or using products distributed by Rejubeau USA, Inc. (“Rejubeau USA”), the Customer acknowledges and agrees to be bound by the following Terms and Conditions. Customers who purchase any TargetCool products are also subject to the Additional TargetCool Terms and Conditions, which supplement and apply in addition to these general terms.
Payment Responsibilities
Hans USA accepts the following forms of payment for online orders:
- Credit and debit cards (Visa, MasterCard, American Express, Discover)
- Shop Pay
- Apple Pay
- Google Pay
For businesses located in the state of California, sales tax will be calculated and applied to klárdie and TargetCool purchases. Orders will not be processed or shipped until payment is completed at checkout.
Payments made with Shop Pay are subject to the Shop Pay Policy.
Products purchased as part of a special deal, event, or offer are subject to our Sales Promotions Policy.
Order Acceptance
All orders placed through this website or with a Hans USA representative are subject to acceptance. Hans USA reserves the right to refuse or cancel any order, in whole or in part, for any reason at its sole discretion. This includes, but is not limited to, situations involving product unavailability, errors in pricing or product information, suspected fraud, or violations of our Terms and Conditions. If an order is canceled after payment has been processed, a full refund will be issued to the original payment method.
Return and Exchange Policy
We are committed to ensuring your satisfaction. If you are not completely satisfied with your purchase, you may return eligible items according to our Return and Exchange Policy.
Limitation of Liability
To the fullest extent permitted by law, Hans USA is not liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, revenue, or business opportunities) arising from product use, breach of warranty, contract, tort, or any other legal theory. Any liability is strictly limited to the amount paid for the product, with no additional remedies or damages recoverable.
Except for any written manufacturer’s warranty, Hans USA disclaims all express and implied warranties, including merchantability, fitness for a particular purpose, durability, and performance. Hans USA is not responsible for product failure or harm resulting from improper storage, unauthorized modifications, off-label use, or regulatory violations.
Hans USA does not provide medical advice and is not responsible for clinical decisions, patient outcomes, or complications. The Customer acknowledges that use of the product outside its FDA-cleared indications is at their own risk, and Hans USA disclaims any liability for such use. It is the Customer’s responsibility to ensure compliance with all applicable federal, state, and local regulations regarding the purchase and use of these products.
The Customer agrees to defend, indemnify, and hold harmless Hans USA, its affiliates, officers, directors, and employees from any claims, damages, or liabilities arising from unauthorized modifications, off-label use, or misuse. Any claims against Hans USA must be filed within one year or will be barred.
Force Majeure
Neither party shall be liable for any delay or failure in performance (excluding payment obligations) due to events beyond their reasonable control. These include, but are not limited to, acts of God, civil or military authority, embargoes, epidemics, pandemics, government regulations, supply chain disruptions, war, terrorism, riots, insurrections, fires, explosions, earthquakes, hurricanes, floods, power outages, strikes, or lockouts. If such conditions arise, it may become impossible or commercially impractical to fulfill the order in full or in part. Once the force majeure condition is resolved, both parties will make their best efforts to resume performance under this agreement.
Choice of Law and Jurisdiction
In the event of any dispute or legal action, the terms and conditions of this document shall be governed by and construed in accordance with the laws of the State of California.
Additional TargetCool
Terms & Conditions
Hans USA is an authorized distributor of TargetCool, a product line owned by Recens. All orders of TargetCool devices, equipment, and consumables (collectively referred to as “TargetCool Products”) are fulfilled by Hans USA. By purchasing and using TargetCool from Recens through Hans USA (together, the “Companies”), the Customer agrees to the following additional terms and conditions.
Inventory Tracking
Each TargetCool Product has a unique serial number and is regulated by the FDA. In compliance with inventory tracking requirements, Hans USA will provide Recens with the Customer’s information and shipment date. Customers acknowledge and consent to this disclosure by placing an order.
Training
Recens will provide onboarding training (either on-site or virtual) at no additional cost to customers who purchase TargetCool Products through Hans USA. This training includes instructions on proper use and handling. All sales and repurchasing will be managed by Hans USA.
Misc Warranty and Limited Liability Matters
Remedies for any breach of warranty or related obligations are limited, at the Companiesʼ sole discretion, to repair or replacement of the affected TargetCool Product, or a refund of the purchase price paid.
The warranty will be void if the TargetCool Products have been subjected to unauthorized use or conditions, including but not limited to: use with medical devices or consumables not supplied by Recens; physical abuse, misuse, abnormal use, or failure to follow Recensʼs published instructions or live training (such as improper assembly, failure to use the cooling guard in cooling mode, or improper cleaning of the device); modification, disassembly, or repair by anyone other than Recens or an authorized service provider; fraud, tampering, unusual physical stress, negligence, improper storage in non-temperature-controlled environments, accidents, removal or alteration of the serial number tag, or improper packaging for return. The warranty is also void if the Customer is in default of any payment or other obligations to Recens or Hans USA.
Except for the express warranty stated above, the TargetCool Products are provided by the Companies “as isˮ and, to the fullest extent permitted by law, all other warranties—whether express, implied, written, or oral—are disclaimed, including warranties of merchantability, fitness for a particular purpose, and noninfringement.
Under no circumstances do the Companies assume, or authorize any employee, agent, distributor, or other party to assume on their behalf, any liability related to the manufacture, sale, supply, or use of any TargetCool Products. The Companiesʼ total liability—whether arising from warranty, contract, tort, or any other legal theory—in connection with the manufacture, sale, supply, use, or disposition of TargetCool Products shall not exceed the actual amount paid by the Customer for the specific product giving rise to the claim. The Customer acknowledges and accepts this limitation of liability as part of the negotiated terms of sale and understands that the pricing of TargetCool Products and related services would be higher if the Companies were required to accept liability beyond what is stated herein.
Under no circumstances shall the Companies be liable for any indirect, incidental, consequential, punitive, or special damages, including lost profits or revenue, even if advised of the possibility of such damages. These limitations apply to the maximum extent permitted by law and regardless of whether any limited remedy fails of its essential purpose. The parties agree that this allocation of risk is reasonable and is reflected in the pricing of the TargetCool Products and services.
Intellectual Property
The parties acknowledge and agree that the Customer does not acquire, under these Terms and Conditions or otherwise, any proprietary or intellectual property rights, title, or interest in the TargetCool Products or any related components. Furthermore, the Customer agrees that any intellectual property conceived, discovered, authored, invented, or reduced to practice by the Customer—whether independently or jointly with others—during the term of this agreement and arising out of, related to, or in connection with the use of the TargetCool Products (including, but not limited to, notes, designs, inventions, improvements, discoveries, ideas, trade secrets, or methods of use) (collectively, “Inventionsˮ) shall be the sole and exclusive property of Recens. The Customer agrees to promptly make full written disclosure to Recens of any such Inventions and to assign (or cause to be assigned), and hereby irrevocably assigns, to Recens all rights, title, and interest in and to any such Inventions.
To the extent that any such assignment is found to be invalid or unenforceable, the Customer grants to Recens an exclusive, fully paid-up, royalty-free, perpetual, irrevocable, transferable, worldwide license (with the right to grant and authorize sublicenses) to develop, make, have made, use, import, offer for sale, sell, reproduce, distribute, modify, adapt, prepare derivative works of, display, perform, and otherwise exploit such Inventions, and to practice any method related thereto. The Customer further agrees to allow authorized representatives of Recens to inspect the TargetCool Products and access and copy usage data from the TargetCool device at reasonable times and upon reasonable request.
Use of TargetCool Equipment and Consumables
The Customer shall use the TargetCool Products only in accordance with applicable laws, and in conformance with the instructions for use provided by Recens and Hans USA. The TargetCool device must only be used in connection with consumables purchased directly from Recens or Hans USA, and operated in a careful and prudent manner. The Customer is responsible for obtaining any required permits or licenses necessary for operation. Only properly trained individuals may operate the device.
The Customer acknowledges that the TargetCool device is designed to function exclusively with consumables (e.g., cartridge, filter, guard, boosting chambers) made or offered by Recens or Hans USA, and agrees not to use the device in conjunction with products not supplied by the Companies. The Customer further acknowledges that using unauthorized consumables may result in patient complications, suboptimal clinical outcomes, increased discomfort, or equipment failure.
The Customer shall not modify, disassemble, inspect the interior of, or otherwise reverse engineer the TargetCool Products, and must take all reasonable precautions to prevent unauthorized modifications. The Customer is responsible for properly storing, handling, maintaining, and disposing of the consumables in accordance with Recens operating manual. The Customer understands that the operating manual may be updated from time to time and agrees to regularly review it for changes. The Customer is also responsible for ensuring the TargetCool Products are protected from damage, stored in a temperature-controlled environment away from direct sunlight, and used only as directed. The Customer shall bear the replacement cost of any consumables lost or damaged while in their possession.
Indemnification
This section supplements and does not replace the indemnification obligations outlined in Hans USAʼs standard Terms and Conditions.
The Customer agrees to defend, indemnify, and hold harmless Recens, Hans USA, and their respective affiliates, directors, officers, employees, contractors, and agents (each, a “Company Indemnified Partyˮ) from any and all claims, suits, damages, losses, liabilities, costs, and expenses (including reasonable attorneysʼ fees and litigation costs) arising from: (a) the Customerʼs negligence or willful misconduct; (b) breach of these additional terms, including any representation, warranty, or obligation; (c) failure to comply with applicable law; or (d) any negligent, improper, or off-label use of the TargetCool Products, including use that is inconsistent with these Terms and Conditions or with the Companiesʼ published instructions or live training.
The Customer further acknowledges that they have independently selected the TargetCool Products for use, and that Recens and Hans USA do not provide medical care or clinical decision-making services. The Customer remains solely responsible for all medical, cosmetic, or other procedures performed using the TargetCool Products, and for ensuring a safe treatment environment for staff, patients, and third parties.
The Customer agrees to indemnify and hold Recens and Hans USA harmless, upon first demand, from all costs, damages, and expenses (including attorneysʼ fees) related to claims for bodily injury, death, or other harm arising out of the use of the TargetCool Products, including any procedures performed by the Customer, except where such harm is caused solely by Recensʼs negligence or a material defect in the design or manufacture of the TargetCool Products. This provision shall survive the expiration or termination of these Terms and Conditions.
Applicable Law
These additional terms are governed by the laws of the State of California, consistent with the governing law specified in Hans USAʼs standard Terms and Conditions. Any legal action arising from or relating to these additional terms shall be resolved in accordance with the Choice of Law and Jurisdiction provisions set forth in the main Terms and Conditions.
